EAGC By-Laws

ARTICLE I NAME

This Club shall be known as the Exeter Area Garden Club.

ARTICLE II OBJECTIVE

The objective of the Club is to encourage interest in and knowledge of all phases of home gardening and floral design, and to promote civic beautification and the conservation of natural resources.

ARTICLE III MEMBERSHIP

Section 1

Membership requires participation in at least one Club committee. Members are expected to support Club projects and events, attend meetings, and help with hosting at one general meeting each year.

Section 2

New and renewing members shall submit a completed application on a form provided by the Club, along with payment of dues, to the Membership Chair. New members shall be accepted throughout the year.

Section 3

Annual dues shall be determined by the Board, approved by the membership, and payable in June. The membership year runs July 1 to June 30. Half dues will be charged to new members joining after January 1.

ARTICLE IV OFFICERS AND DUTIES

Section 1

The Elected Officers shall be the following: President, Vice-President, Recording Secretary, Communications Coordinator, and Treasurer. The Board shall consist of the Elected Officers, the Immediate Past President, and the chairpersons of standing committees.

Section 2

The Board shall transact the general business of the Club, consider all questions of policy, and present recommendations to the Club for action. The Elected Officers shall be empowered to act in emergencies for the Board.

Section 3

The President shall preside at all meetings of the Club, shall be a member ex-officio of all committees, and shall call special meetings when necessary.

Section 4
The Vice-President shall conduct the business of the Club in the absence of the President. If the office of President becomes vacant, the Vice-President shall assume the duties of the President to complete that term.

Section 5

The Recording Secretary shall keep the minutes of the General Meetings and of the meetings of the Board.

Section 6

The Communications Coordinator shall manage the website, social media, and public relations.

Section 7

The Treasurer shall keep account of all monies received or expended and shall present a quarterly statement to the Board and to the Club. At the end of the fiscal year, an audit will take place with the Treasurer and one Club member.
The Treasurer shall be Chairperson of the Budget Committee, which shall prepare the Annual Budget, said Committee to consist of the President, Treasurer, Chairperson of the Program Committee, Chairperson of the Ways & Means Committee, and such other Club Chairpersons as shall be deemed necessary.

The budget shall be presented to the Board and the general membership for approval at the May meeting. The Treasurer and the President shall each be authorized to write checks for the Club. The Board may authorize the appointment of an Assistant Treasurer when deemed necessary.

Section 8

If a vacancy occurs among the Elected Officers, the Board shall have the right to fill the vacancy for the unexpired term.

ARTICLE V STANDING COMMITTEES

Section 1

The Standing Committees shall be: Awards; Civic Beautification; Environment & Conservation; Horticulture; Hospitality; Membership; Programs & Design; and Ways & Means.

Section 2

Projects undertaken and expenses incurred by the Club shall first be approved by the Board.

Section 3

The President shall name the Nominating Committee, consisting of herself as Chairperson, the Vice President, and at least three other members, in April. The Nominating Committee shall submit a slate of officers to the Board and the Club one month prior to election.

ARTICLE VI MEETINGS

General Meetings shall be held on the third Thursday, September through June.  The December and June meetings will be luncheons.  Board meetings shall be held on the first Thursday of the month, as determined.

ARTICLE VII ELECTIONS

Election of Officers shall be held in May from a slate prepared by the Nominating Committee. Nominations from the floor shall be solicited by the President, and if there are none, the acceptance of the Nominating Committee report shall constitute the election. Officers shall be installed at the June Luncheon.

ARTICLE VIII PARLIAMENTARY AUTHORITY

Roberts’ Rules of Order, Revised shall be the authority governing this Club in business procedures not covered by the Bylaws.

ARTICLE IX REVISIONS AND AMENDMENTS

These Bylaws shall be reviewed every five (5) years, or as needed, by a Bylaws Committee of five (5) or more and may be amended at any General Meeting of the Club by two thirds vote of those present, provided the proposed amendments have been submitted at the previous Board meeting.

Article X DISSOLUTION

In the event the Exeter Area Garden Club dissolves, all uncommitted assets will be distributed according to federal and state guidelines.
